These Terms and Conditions of Service (“Terms”) govern your access to and use of the website, online academy, courses, learning materials, community features and related services operated by TMPI MERAKI LTD.

In these Terms, “TMPI,” “the Company,” “we,” “us” and “our” refer to TMPI MERAKI LTD.

By creating an account, purchasing a course or using the Services, you agree to these Terms. Our Privacy Policy, Cookie Policy and Refund and Withdrawal Policy also apply where relevant.

If you do not agree to these Terms, you must not create an account, purchase a course or use restricted areas of the Services.

Nothing in these Terms limits any mandatory rights that you have under applicable consumer law.

1. Key definitions

For the purposes of these Terms:

Account means a registered learner account used to access the Services.

Consumer means a natural person acting for purposes outside their trade, business, craft or profession.

Course means an online course, programme, live session, seminar, subscription, resource collection or other educational product offered by TMPI.

Course Content means the videos, text, images, presentations, assessments, exercises, downloadable resources, live sessions and other educational materials supplied as part of a Course.

Course Page means the sales or information page describing a particular Course, including its price, language, access period, instructor, format and included materials.

Services means the website, academy, Courses, community, learner accounts, communications and related functionality made available through https://campus.tmpiacademy.com/.

User means a person who visits, registers with or uses the Services.

User Content means comments, reviews, questions, posts, profile information, assignments or other material submitted by a User.

2. Eligibility and professional audience

2.1 Age requirement

The Services are intended for adults aged 18 or over.

You must be at least 18 years old and legally capable of entering into a contract to create an Account or purchase a Course.

We do not knowingly permit children to create Accounts. The fact that some Course Content concerns paediatric care does not mean that the Services are directed to children.

2.2 Professional education

Our Courses are primarily intended for physiotherapists, kinesiologists and other appropriately qualified or supervised healthcare professionals.

You are responsible for determining whether a Course is appropriate for your:

Qualifications
Professional role
Scope of practice
Experience
Local regulatory requirements
Continuing professional development requirements

We may specify prerequisites on a Course Page. You must not enrol in or apply restricted clinical material if you do not satisfy the stated prerequisites.

3. User accounts

3.1 Account creation

Some Services require an Account.

When registering, you agree to provide information that is truthful, accurate, complete and current. You must update your information if it changes.

We may refuse or cancel an Account created using false, misleading, incomplete or impersonated information.

3.2 Account security

You are responsible for:

Keeping your login credentials confidential
Using a secure password
Preventing unauthorised access to your Account
Activities carried out through your Account where caused by your failure to protect it

You must not share, sell, transfer or lend your Account or Course access to another person.

If you suspect unauthorised access, notify us promptly at team@tmpiacademy.com.

3.3 Social sign-in

You may be able to register or sign in using Google, Facebook, LinkedIn, Apple or another supported provider.

Your use of a social sign-in provider is also subject to that provider’s terms and privacy policy. We are not responsible for the availability of an external sign-in service.

3.4 Account closure

You may request closure of your Account by contacting us.

Closing an Account does not automatically entitle you to a refund. Your statutory rights and any applicable Refund and Withdrawal Policy will continue to apply.

Personal data connected with a closed Account will be handled according to our Privacy Policy and applicable law.

4. Course descriptions and enrolment

4.1 Course information

Before purchase, the relevant Course Page will describe the main characteristics of the Course, which may include:

Course subject and objectives
Intended audience
Instructor
Course language
Online, live or blended format
Access period
Included learning materials
Technical requirements
Assessment or certificate conditions
Price and applicable taxes

Please review this information before purchasing.

4.2 Course language and translation

Each Course Page should identify the language in which the Course is delivered.

A translated website interface, translated Course description or automatic translation feature does not mean that videos, downloadable documents, live sessions or instructor support are available in that language unless the Course Page expressly states this.

Machine-generated translations may be provided for convenience. Important clinical material should be used in the original Course language unless an authorised translated version is expressly provided.

4.3 Enrolment

Your enrolment is confirmed when:

Payment has been successfully completed, where payment is required; and
We send you an order or enrolment confirmation or make the Course available in your Account.

We may contact you if an enrolment was created because of an evident pricing, technical or availability error.

5. Course access and licence

5.1 Personal licence

When you enrol in a Course, we grant you a limited, personal, non-exclusive, non-transferable licence to access and use its Course Content for your own education and professional development.

The licence does not transfer ownership of the Course Content or intellectual property rights to you.

5.2 Access period

The access period is the period shown on the Course Page or in your order confirmation.

If no period is stated, access will continue for the period reasonably necessary to provide the Course as described, subject to these Terms and your statutory rights.

5.3 “Lifetime access”

We recommend that TMPI avoid advertising “lifetime access” unless the applicable duration is clearly explained before purchase.

Where a Course was expressly sold with “lifetime access,” this means access for as long as TMPI continues to operate and support that Course on its platform. It does not mean the lifetime of the User or guarantee that a particular technology or platform will remain available indefinitely.

If we need to discontinue such a Course, we will provide reasonable advance notice where practicable and consider an appropriate alternative, download opportunity, replacement or remedy, taking account of the circumstances and applicable law.

This clause does not remove any mandatory consumer right concerning digital content that is defective, unavailable or materially different from what was advertised.

5.4 Updates

We may update Course Content to:

Correct errors
Reflect changes in evidence or professional practice
Improve quality or accessibility
Replace obsolete material
Maintain technical compatibility
Comply with legal or regulatory requirements

Updates must not materially deprive you of the principal Course purchased without an appropriate reason and, where required, notice or remedy.

6. Acceptable use and restrictions

You must not:

Share your Account or Course access
Copy, reproduce or distribute Course Content except where expressly permitted
Record, download or capture videos or live sessions without permission
Resell, sublicense, publish or commercially exploit Course Content
Remove copyright, trademark or attribution notices
Circumvent access, payment, download or security restrictions
Use automated tools to scrape, harvest or copy the Services
Upload malware or interfere with platform operation
Attempt to access another User’s Account
Harass, threaten or impersonate another person
Publish unlawful, defamatory, discriminatory or infringing content
Use Course Content to train a commercial artificial-intelligence model without written permission
Use the Services in a way that violates applicable law or professional obligations

Downloadable materials may be used personally in accordance with instructions accompanying the Course. Permission to download a resource does not grant permission to redistribute it.

7. Clinical and educational disclaimer

7.1 Educational purpose

Course Content is provided for professional education and information. It does not constitute individual medical advice, diagnosis, treatment or a substitute for an appropriate assessment of a patient.

Participation in a Course does not create a clinician–patient relationship between you, TMPI or an instructor.

7.2 Professional responsibility

You remain responsible for:

Your clinical judgment
Assessing each patient individually
Working within your qualifications and scope of practice
Obtaining informed consent where required
Following applicable professional standards and local law
Considering contraindications, risks and current evidence
Seeking appropriate supervision or specialist advice

Course examples cannot address every patient, condition or clinical circumstance.

TMPI does not guarantee a particular patient, clinical, commercial, employment or professional outcome from completing a Course.

7.3 Patient information

You must not submit identifiable patient records, images, videos or health information through the community, assessments or support services unless the relevant activity expressly permits it and you have a valid legal basis and all required permissions.

Where clinical cases are discussed, information must be appropriately anonymised.

8. Assessments and certificates

A certificate may be issued where you meet the completion, attendance or assessment requirements shown for the Course.

Unless expressly stated on the Course Page, a TMPI certificate:

Confirms Course participation or completion only
Is not an academic degree
Is not a professional licence
Does not independently authorise clinical practice
Does not guarantee recognition by an employer, regulator or professional body

You are responsible for checking whether a Course is accepted for continuing professional development or regulatory purposes in your jurisdiction.

We may withhold or revoke a certificate obtained through fraud, impersonation, plagiarism, unauthorised collaboration or another serious breach of these Terms.

9. Prices, payment and taxes

9.1 Prices

The applicable price is the price displayed when you place your order.

Prices and promotions may change for future purchases. A later price change does not alter a completed purchase unless required to correct an evident error and permitted by law.

9.2 Taxes and total price

The total amount payable, including applicable taxes and mandatory charges, will be displayed before you complete your order.

You are responsible for providing accurate billing and location information so that taxes can be calculated correctly.

9.3 Payment processing

Payments are processed through Stripe.

You authorise the payment provider to charge the selected payment method for the amount shown at checkout.

You must not use a payment method without the account holder’s permission.

We do not store complete payment-card information.

9.4 Payment failure and chargebacks

If payment is declined, reversed or remains unpaid, we may suspend access while the matter is investigated.

Before initiating a chargeback, please contact us so that we can attempt to resolve the issue. This does not restrict any legal right you have to dispute an unauthorised or incorrect transaction.

Submitting a knowingly false or abusive chargeback may result in suspension of the Account and recovery of properly due amounts.

10. Withdrawal and refunds

10.1 Statutory withdrawal rights

If you are an EU or EEA Consumer purchasing online, you will generally have a right to withdraw from a distance contract within 14 days, subject to applicable exceptions.

The precise treatment may depend on whether the purchase consists of digital content, a digital service, a live service or a combination of these.

10.2 Immediate digital access

If you request access to digital Course Content before the 14-day withdrawal period expires, we may ask you to:

Expressly consent to the immediate supply of the digital content; and
Acknowledge that you will lose your statutory withdrawal right once supply of that digital content begins.

This consent and acknowledgement must be collected clearly during checkout. Merely accepting these Terms is not, by itself, sufficient.

If the required consent and acknowledgement are not properly collected, your statutory rights will remain unaffected.

10.3 Services started during the withdrawal period

Where a Course includes a service that begins during the withdrawal period at your express request, and you subsequently withdraw before it is fully performed, you may be required to pay a proportionate amount for the service already supplied where permitted by law.

10.4 Voluntary refund policy

Any additional voluntary refund promise is described in our Refund and Withdrawal Policy: https://campus.tmpiacademy.com/refund-policy.

A voluntary refund policy does not limit mandatory consumer rights.

10.5 Defective or non-conforming digital content

Loss or expiry of the withdrawal right does not remove your rights where Course Content:

Is not supplied
Is materially different from its description
Does not function as reasonably expected
Is inaccessible because of a problem within our responsibility
Otherwise fails to conform to applicable legal requirements

Where required by law, you may be entitled to have the content or service brought into conformity, receive a proportionate price reduction or terminate the contract and receive a refund.

11. Live sessions and scheduled activities

Some Courses may include live meetings, webinars, mentoring sessions or scheduled activities.

Dates and time zones will be stated on the Course Page or communicated to enrolled Users.

We may need to change an instructor, date or delivery method because of illness, technical problems, insufficient enrolment, force majeure or another reasonable operational cause.

Where a material scheduled element is cancelled, we will offer an appropriate solution, which may include:

A replacement session
Access to a recording, where appropriate
Transfer to another date
Course credit
A proportionate or full refund where required

You are responsible for joining at the correct time and meeting the stated technical requirements.

12. User Content and community rules

12.1 Ownership

You retain ownership of intellectual property rights in your User Content.

12.2 Licence required to operate the Services

By submitting User Content, you grant TMPI a non-exclusive, worldwide, royalty-free licence to host, store, reproduce and display that content only as reasonably necessary to:

Operate the Services
Display it in the area where you submitted it
Provide support
Moderate the community
Protect Users and enforce these Terms

This operational licence lasts while the content remains in the Services and for a reasonable technical backup period.

We will not use your name, photograph, review or User Content in external advertising solely because you posted it in the academy. Promotional publication requires separate permission or another documented legal basis.

12.3 Your responsibilities

You confirm that:

You created the User Content or have permission to submit it
It does not violate another person’s intellectual property or privacy rights
It is not unlawful, misleading or defamatory
It does not contain confidential or identifiable patient information without proper authority
It complies with applicable professional duties

12.4 Moderation

We may remove or restrict User Content that breaches these Terms, creates a safety or privacy risk, infringes rights or is inappropriate for the educational community.

Where reasonably possible, we will consider the context and seriousness of the issue before taking action.

13. Intellectual property

The Services and Course Content are owned by or licensed to TMPI MERAKI LTD and are protected by copyright, trademark and other intellectual-property laws.

This includes, where applicable:

Course videos and recordings
Written lessons and presentations
Graphics, diagrams and photographs
Assessments and exercises
Downloadable resources
TMPI and PIMT names and logos
Website design and original text

Nothing in these Terms grants a right to use our trademarks, branding or Course Content except for the personal educational licence expressly granted.

If you believe content on the Services infringes your intellectual-property rights, contact team@tmpiacademy.com with sufficient information to investigate the claim.

14. Third-party services

The Services are hosted using LearnWorlds and may integrate with payment processors, video platforms, live-session providers, social sign-in providers and other third-party services.

Third-party services may have their own terms and privacy policies.

We are not responsible for problems caused exclusively by a third party outside our reasonable control. However, this clause does not remove any responsibility TMPI has to you under mandatory consumer law for supplying the Course or digital service described.

15. Availability, suspension and termination

15.1 Availability

We aim to keep the Services reasonably available but cannot guarantee uninterrupted or error-free access.

Temporary interruptions may occur because of:

Maintenance
Security work
Platform updates
Internet or hosting failures
Events outside our reasonable control

We will take reasonable steps to restore material access problems within our control.

15.2 Suspension

We may temporarily suspend an Account where reasonably necessary to:

Investigate suspected fraud or unauthorised access
Protect Users or platform security
Address non-payment
Prevent serious misuse
Comply with law or a lawful authority request

15.3 Termination for breach

We may terminate or restrict an Account for a material or repeated breach of these Terms.

Where appropriate, we will provide notice and a reasonable opportunity to correct the breach. Immediate action may be taken for serious security, fraud, harassment, patient-confidentiality or intellectual-property violations.

Termination for your serious breach may result in loss of Course access without a refund, to the extent permitted by law.

15.4 Our discontinuation of a Course

If we permanently discontinue a paid Course before the end of the promised access period for reasons not caused by you, we will consider an appropriate remedy such as continued access for a transition period, replacement content, transfer, credit or refund.

Your mandatory rights remain unaffected.

16. Liability

16.1 Matters we do not exclude

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for:

Fraud or fraudulent misrepresentation
Death or personal injury caused by negligence
Intentional misconduct or gross negligence where it cannot lawfully be limited
Breach of mandatory consumer rights
Other liability that applicable law does not permit us to exclude

16.2 Foreseeable loss

If you are a Consumer, we are responsible for loss or damage caused by our breach where that loss or damage was a foreseeable result of the breach.

We are not responsible for loss that was not reasonably foreseeable when the contract was formed.

16.3 Professional and business loss

Courses provide education rather than a guarantee of clinical, professional or commercial results.

To the extent permitted by law, we are not responsible for:

Clinical decisions made independently by a User
Failure to follow applicable professional standards
Use outside the User’s competence or scope of practice
Loss of business, revenue, profit or opportunity
Indirect or consequential business loss
Failure to obtain recognition from an employer, regulator or professional body where recognition was not expressly promised

If you purchase and use a Course wholly or mainly for business or professional purposes, our aggregate liability arising from that Course will, to the extent permitted by law, be limited to the amount paid for the affected Course.

This limitation does not apply where liability cannot lawfully be limited.

17. Privacy

Our collection and use of personal data is explained in our Privacy Policy.

Our use of cookies and similar technologies is explained in our Cookie Policy.

You must review those notices separately. Acceptance of these Terms is not consent to optional marketing or non-essential cookies.

18. Changes to these Terms

We may update these Terms to reflect:

Changes to the Services
New functionality
Security requirements
Legal or regulatory changes
Clarifications or corrections

The updated version will be published with a new “Last updated” date.

Material changes will not be applied retrospectively to deprive you of the main benefit of an existing paid purchase without an appropriate legal or contractual basis.

Where a material change affects an ongoing Service, we will provide reasonable notice where required.

19. Governing law and disputes

19.1 Governing law

These Terms and contracts with TMPI MERAKI LTD are governed by the laws of Cyprus.

If you are a Consumer residing in another country, this choice does not deprive you of mandatory consumer protections applicable in your country of residence.

19.2 Courts

The courts of Cyprus will have jurisdiction, subject to any mandatory right of a Consumer to bring or defend proceedings in the courts of their country of residence.

19.3 Complaints and alternative resolution

Order or Account details
A description of the issue
The outcome you are requesting

We will attempt to respond within a reasonable period.

Where applicable, a Consumer may also contact the Cyprus Consumer Protection Service or an appropriate recognised alternative dispute-resolution body.

These Terms do not require a Consumer to use private arbitration or waive any right to pursue a claim in a competent court.

20. General provisions

20.1 Entire agreement

These Terms, the relevant Course Page, order confirmation, Privacy Policy and applicable Refund and Withdrawal Policy form the agreement between you and TMPI concerning the purchase and use of the Services.

20.2 Course-specific terms

A Course Page may contain additional terms concerning access, prerequisites, live sessions, assessments or certificates.

If a Course-specific term conflicts with these general Terms, the more specific term will apply to that Course, except where it would reduce a mandatory legal right.

20.3 Severability

If a court or competent authority finds part of these Terms invalid or unenforceable, the remaining provisions will continue to apply.

The invalid provision will be interpreted or replaced only to the minimum extent necessary to make it lawful and effective.

20.4 No waiver

If we delay enforcing a provision, that does not mean we waive the right to enforce it later.

20.5 Assignment

You may not transfer your Account or your rights under a personal Course licence.

We may transfer our rights and obligations as part of a lawful sale, restructuring or transfer of the business, provided this does not reduce your mandatory rights.

20.6 Events outside reasonable control

Neither party will be responsible for delay caused by events outside its reasonable control.

Where such an event materially prevents us from supplying a paid Course for an extended period, we will communicate with affected Users and provide any remedy required by law.

20.7 Languages

These Terms may be made available in more than one language.

If translated versions conflict, the English version will prevail to the extent permitted by applicable law. This does not restrict mandatory rights available in a Consumer’s country.
